Terms of Service

1. Acceptance of Terms

By accessing or using Netzilo's services, including our Enterprise Browser, Enterprise Workspace, and related products (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.

These Terms constitute a legally binding agreement between you (whether an individual or entity) and Netzilo, Inc. ("Netzilo", "we", "us", or "our").

2. Description of Services

Netzilo provides a comprehensive Digital Enterprise Workspace solution that includes:

• Enterprise Browser with zero trust security
• Enterprise Workspace for secure application access
• Browser Extension for enhanced security controls
• Disposable Browser for isolated sessions
• Disposable Network for secure connectivity
• Related security and productivity features

3. Account Registration

To access certain features of our Services, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:

• In any way that violates any applicable law or regulation
• To transmit any harmful, offensive, or unlawful material
• To impersonate or attempt to impersonate another person
• To engage in any conduct that restricts or inhibits use of the Services
• To introduce viruses, malware, or other harmful code
• To attempt to gain unauthorized access to any systems
• For any commercial purposes without our express permission

5. Intellectual Property Rights

The Services and their entire contents, features, and functionality are owned by Netzilo, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes in accordance with these Terms.

6. Privacy and Data Protection

Your use of our Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using our Services, you consent to our collection, use, and disclosure of information as described in our Privacy Policy.

We implement industry-standard security measures to protect your data and maintain compliance with applicable data protection regulations.

7. Payment Terms

If you subscribe to paid Services:

• You agree to pay all fees according to your selected plan
• Fees are non-refundable except as required by law
• We may change fees upon 30 days' notice
• You are responsible for all applicable taxes
• Failure to pay may result in suspension or termination

8. Service Level Agreement

For paid enterprise plans, we provide a 99.9% uptime SLA. Details of our service level commitments, including remedies for downtime, are available in our separate Service Level Agreement document.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, NETZILO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETZILO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL NETZILO'S AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO NETZILO FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless Netzilo and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Services or violation of these Terms.

12. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Services will cease immediately
• We may delete your account and data
• Provisions that should survive will remain in effect

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of San Francisco County, California.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms and updating the effective date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
